Schedule of Third Party Services

1. Purpose and Relationship to Other Documents

This Schedule of Third-Party Services identifies the third-party service providers (“Third-Party Providers”) and products (“Third-Party Services” or “Third-Party Solutions”) that Decypher Technologies, Inc. (“Decypher,” “we,” “us,” or “our”) may use in providing services to you.

By accepting a Quote that incorporates this Schedule, you acknowledge and represent that:

(a) You have been provided access to, and have had the opportunity to review, the Third-Party Provider agreements and privacy policies identified in this Schedule.

(b) You understand that your use of Third-Party Services is subject to the applicable Third-Party Provider’s terms and conditions, which may be modified by the Third-Party Provider without notice from Decypher.

(c) You understand that Decypher may change Third-Party Providers in its sole discretion, provided the change does not materially diminish the services Decypher is obligated to provide under a Quote.

(d) You understand that certain Third-Party Services may require you to separately agree to the Third-Party Provider’s terms before the services can be activated.

(e) You understand that Third-Party Provider fees are subject to change and that Decypher reserves the right to pass through incremental Third-Party Provider cost increases as described in the MSA.

4. Third-Party Service Providers

The following tables identify the Third-Party Service Providers that Decypher may use in providing services to you. Not all Third-Party Providers listed will be used in every engagement; the specific Third-Party Services applicable to your engagement will depend on the services described in your Quote.
